Terms of Use

These Terms of Use ("Terms") govern your access to and use of this website (the "Site") operated by Coquí ("Coquí," "we," "us," "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms cover the Site only. Our paid services are governed by a separate written service agreement, and in the event of any conflict between these Terms and a signed service agreement, the service agreement controls as to those services.

The Site is informational

Content on the Site describes our services for general informational purposes only. It is not a binding offer, a guarantee of results, or professional advice. Specific scope, pricing, timelines, and deliverables are defined only in a signed engagement agreement entered into following an audit.

No timeline or outcome guarantees

Any timeframes, examples, case descriptions, or sample interfaces shown on the Site are illustrative only. Actual scope and schedule are determined per engagement after a paid audit. We make no promise that any particular result, outcome, or timeline shown on the Site will apply to you.

Acceptable use

When using the Site, you agree that you will not:

  • access or use the Site for any unlawful purpose or in violation of these Terms;
  • copy, scrape, harvest, crawl, or use automated means (bots, scrapers, data-mining tools) to extract data or content from the Site without our prior written permission;
  • attempt to gain unauthorized access to the Site, its servers, or any related systems or networks, or probe, scan, or test their vulnerability;
  • interfere with or disrupt the integrity or performance of the Site, including by introducing malware, viruses, or other harmful code, or by overloading or attacking the Site (e.g., denial-of-service activity);
  • reverse engineer, decompile, or attempt to derive the source code or structure of the Site except to the extent that restriction is prohibited by law;
  • impersonate any person or misrepresent your affiliation with any person or entity; or
  • use the Site to transmit unsolicited communications, or to collect information about other users.

We may suspend or terminate your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is otherwise harmful.

Submissions

When you submit information through the Site (for example, via our contact or intake forms), you confirm that the information is accurate and that you have the right to share it. Do not submit confidential, sensitive, or regulated third-party data — including protected health information (PHI) — through the Site forms. Such data is handled only within an executed engagement and under the applicable service agreement, Business Associate Agreement, or Data Processing Agreement.

Except for personal information, which is handled as described in our Privacy Policy, any feedback, suggestions, or ideas you submit about the Site or our services may be used by us without restriction or obligation to you.

Intellectual property

The Site and its content, design, layout, text, graphics, logos, and branding (collectively, the "Content") are owned by Coquí or its licensors and are protected by intellectual property and other laws. You may not copy, reproduce, modify, distribute, publicly display, or reuse the Content without our prior written permission, except that you may view and use the Site for your own legitimate, non-commercial evaluation of our services. The "Coquí" name and logo are marks of Coquí; all other marks are the property of their respective owners.

Third-party platforms and links

We reference and may integrate with third-party systems and platforms (for example, Shopify, HubSpot, QuickBooks, and scheduling or email tools). We are not affiliated with, sponsored by, or endorsed by these third parties, and their names and marks belong to their respective owners. The Site may also contain links to third-party websites or services we do not control. We are not responsible for the content, policies, or practices of any third-party platform or site, and your use of them is at your own risk and subject to their terms.

Disclaimer of warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COQUÍ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Coquí and its owner from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your misuse of the Site; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any content or information you submit through the Site.

Governing law and venue

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts.

Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent version. Your continued use of the Site after changes become effective means you accept the revised Terms.

Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and Coquí regarding the Site.
